1 Acceptance of Terms

By using ARSES, creating an account, browsing listings, contacting users, submitting information, posting listings, requesting quotations, or using any marketplace feature, you agree to comply with these Terms and all applicable laws.

Additional terms may apply to specific services, seller tools, payment features, business accounts, promotions, or third-party services. If there is a conflict between these Terms and additional written terms, the additional terms may apply to that specific feature or service.

2 About ARSES

ARSES is designed as a marketplace platform that connects independent buyers, sellers, manufacturers, professionals, service providers, companies, and business users.

Unless explicitly stated otherwise, ARSES does not manufacture, own, inspect, control, endorse, or guarantee third-party products, services, certifications, business claims, listings, users, transactions, or outcomes.

3 Eligibility and Accounts

You must be legally able to use ARSES and enter into binding agreements in your jurisdiction. If you use ARSES on behalf of a company or organization, you represent that you have authority to act on its behalf.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information and to update your information when necessary.

4 Marketplace Role

ARSES provides digital marketplace infrastructure. Independent users may post listings, offer products, provide services, request quotations, communicate, and engage in marketplace activities.

ARSES is not automatically a party to transactions, agreements, communications, services, or disputes between users unless explicitly stated in writing.

Users are responsible for evaluating products, sellers, service providers, documents, certifications, pricing, availability, delivery terms, legal requirements, and transaction risks before making decisions.

5 Buyers, Sellers, and Service Providers

Buyers are responsible for reviewing listings, confirming product or service suitability, checking seller information, verifying requirements, and complying with applicable laws before completing purchases or agreements.

Sellers and service providers are responsible for ensuring that their listings, descriptions, prices, images, availability, certifications, warranties, delivery terms, services, and business claims are accurate, lawful, not misleading, and kept up to date.

Manufacturers, professionals, contractors, educators, and business users are responsible for their own representations, qualifications, licenses, insurance, certifications, safety obligations, regulatory compliance, and service quality.

6 Listings, Content, and Product Information

Users who submit listings, product information, service descriptions, images, documents, certificates, reviews, messages, or other content are responsible for that content.

Listings must not be false, misleading, deceptive, unlawful, infringing, unsafe, or otherwise inappropriate for the marketplace.

ARSES may review, edit, reject, remove, hide, restrict, or disable content or accounts where we believe it is necessary to protect users, comply with law, enforce these Terms, or maintain marketplace integrity.

ARSES does not guarantee that any listing, description, price, availability, certificate, document, technical specification, image, review, or user-provided information is accurate, complete, current, or suitable for a particular purpose.

7 Orders, Payments, Quotes, and Transactions

ARSES may support product purchases, service requests, quotations, inquiries, orders, bookings, auctions, or other marketplace transactions.

The availability of payment, quotation, escrow, refund, shipping, or order features may vary depending on the platform phase, seller settings, payment providers, country, product type, service type, and applicable law.

Users are responsible for reviewing all transaction details before proceeding, including price, taxes, fees, shipping, return policies, seller terms, service scope, delivery dates, and applicable warranties.

Payment processing may be handled by third-party payment providers. Those providers may have their own terms and privacy practices.

8 Shipping, Delivery, Returns, and Refunds

Shipping, delivery, pickup, returns, refunds, cancellations, warranties, and after-sale support may depend on the seller, service provider, product type, transaction terms, jurisdiction, and applicable policies.

Unless explicitly stated otherwise, sellers and service providers are responsible for setting and honoring their own applicable shipping, delivery, return, refund, service, warranty, and cancellation terms.

ARSES may provide tools to help users manage disputes, refunds, or returns, but ARSES does not guarantee that a dispute will be resolved in a particular way.

9 Reviews, Ratings, and User Communications

Users may have the ability to communicate, submit reviews, rate sellers or services, or share marketplace feedback.

Reviews and communications must be truthful, relevant, lawful, respectful, and not misleading. Users must not post fake reviews, manipulated ratings, defamatory content, spam, threats, harassment, or content that violates the rights of others.

ARSES may remove or restrict reviews, ratings, messages, or communications that violate these Terms or marketplace policies.

10 Prohibited Activities

You agree not to:

• Use ARSES for unlawful, fraudulent, deceptive, harmful, or misleading activities.
• Post false, inaccurate, incomplete, unsafe, or misleading listings or business claims.
• Sell or promote prohibited, restricted, counterfeit, stolen, unsafe, or illegal products or services.
• Misrepresent identity, qualifications, certifications, licenses, product origin, warranty, or business status.
• Interfere with platform security, operations, servers, networks, or other users.
• Scrape, copy, harvest, or misuse marketplace data without authorization.
• Upload malware, harmful code, spam, or unauthorized promotional content.
• Infringe intellectual property, privacy, publicity, or contractual rights.
• Manipulate reviews, prices, rankings, traffic, search results, or marketplace systems.

11 Intellectual Property

ARSES, its name, branding, website design, software, platform structure, text, graphics, logos, interface elements, and related materials are owned by ARSES or its licensors and are protected by intellectual property laws.

Users may not copy, modify, reproduce, distribute, sell, reverse engineer, or exploit ARSES materials without permission, except as permitted by applicable law.

12 User Content License

When you submit content to ARSES, including listings, images, descriptions, logos, documents, messages, reviews, or profile information, you grant ARSES a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, adapt, translate, distribute, and use that content for operating, promoting, improving, securing, and supporting the marketplace.

You represent that you have the rights needed to submit the content and to grant this license.

13 AI-Assisted and Automated Tools

ARSES may develop or use automated and AI-assisted tools to support search, recommendations, translation, listing creation, content assistance, moderation, fraud prevention, customer support, business insights, and marketplace operations.

AI-assisted outputs may be incomplete, inaccurate, outdated, or unsuitable for a specific purpose. AI tools are intended to assist users and do not replace professional, technical, legal, financial, medical, engineering, safety, or business advice.

Users remain responsible for verifying all AI-assisted outputs, product details, seller information, service details, technical specifications, legal requirements, safety requirements, and business decisions.

14 Third-Party Services and Links

ARSES may include links, integrations, payment providers, logistics providers, analytics tools, maps, seller websites, service provider websites, or other third-party services.

Third-party services are governed by their own terms, policies, fees, and privacy practices. ARSES is not responsible for third-party services, content, actions, failures, security, availability, or policies.

15 Privacy

Our handling of personal information is described in our Privacy Policy. By using ARSES, you acknowledge that personal information may be collected, used, disclosed, stored, and protected as described in that policy.

Users should not submit sensitive personal information unless necessary and appropriate for the specific service or legal requirement.

16 Disclaimers

ARSES is provided on an "as is" and "as available" basis. To the extent permitted by law, ARSES makes no warranties or representations that the platform will be uninterrupted, error-free, secure, accurate, complete, current, or suitable for any particular purpose.

ARSES does not guarantee third-party products, services, sellers, buyers, manufacturers, professionals, certifications, documents, availability, delivery, pricing, warranties, transaction outcomes, reviews, or user conduct unless explicitly stated in writing.

Some jurisdictions do not allow certain disclaimers, so some parts of this section may not apply to all users.

17 Limitation of Liability

To the extent permitted by applicable law, ARSES and its owners, directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, business opportunities, or business interruption arising from or related to use of the platform.

To the extent permitted by law, ARSES liability for any claim related to the platform will be limited to the amount paid by the user to ARSES for the specific service giving rise to the claim, or CAD $100 if no amount was paid to ARSES.

Nothing in these Terms limits liability where limitation is not permitted by applicable law.

18 Indemnification

You agree to defend, indemnify, and hold harmless ARSES and its owners, directors, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from your use of ARSES, your content, your listings, your products or services, your transactions, your violation of these Terms, your violation of law, or your violation of third-party rights.

19 Suspension and Termination

ARSES may suspend, restrict, remove, or terminate access to the platform, accounts, listings, content, or features where we believe it is necessary to enforce these Terms, comply with law, prevent harm, protect users, address security issues, or maintain marketplace integrity.

Users may stop using ARSES at any time. Certain obligations may survive termination, including payment obligations, content licenses, disclaimers, limitations of liability, indemnification, and legal obligations.

20 Changes to the Platform or Terms

ARSES may update, modify, suspend, or discontinue parts of the platform or these Terms from time to time.

When we update these Terms, we may post the revised version on this page with an updated effective date. Continued use of ARSES after changes are posted means you accept the updated Terms.

21 Governing Law

These Terms are governed by the laws of Canada and the applicable laws of the province or territory where ARSES is legally established, without regard to conflict of law rules.

Any disputes will be handled in the courts or dispute resolution forums having jurisdiction, unless another lawful dispute resolution process applies.

Before final launch, ARSES should update this section with the specific province or territory of incorporation or operation.
