Seller Agreement
This Seller Agreement ("Agreement") applies to independent sellers, manufacturers, service providers, and business users ("Seller", "you", or "your") who list, offer, or sell products or services through ARSES Marketplace ("ARSES", "we", "us", or "our").
ARSES is designed as a marketplace platform connecting independent buyers, sellers, manufacturers, professionals, service providers, and business users. This Agreement works together with the ARSES Terms of Service and Privacy Policy.
1 Acceptance of Seller Agreement
By registering as a seller, creating a seller or business account, submitting listings, offering products or services, or using seller tools on ARSES, you agree to this Agreement, the Terms of Service, the Privacy Policy, and all applicable marketplace policies and laws.
If you use ARSES on behalf of a company or organization, you represent that you have authority to accept this Agreement on its behalf. If you do not agree, you should not sell or list on the platform.
2 ARSES Marketplace Role
ARSES provides digital marketplace infrastructure that allows independent sellers to list products and services, communicate with buyers, and manage marketplace activity.
Unless explicitly stated in writing, ARSES does not manufacture, own, inspect, control, endorse, or guarantee seller products, services, quality, certifications, business claims, or transaction outcomes. ARSES is not automatically a party to transactions or agreements between sellers and buyers.
The Seller is responsible for operating as an independent business and for meeting all obligations to buyers and applicable authorities.
3 Seller Eligibility and Account Responsibility
To sell on ARSES, you must be legally able to operate a business and enter into binding agreements in your jurisdiction, and you must comply with all laws applicable to your products, services, and business activities.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your seller account. You agree to provide accurate, current, and complete business information and to keep it up to date.
4 Seller Verification and Business Information
ARSES may request business information, documentation, or verification details where applicable to support marketplace integrity, security, fraud prevention, or legal requirements.
Where a verification, badge, or status is displayed, it reflects only the specific checks described for that feature and does not represent an endorsement or guarantee of the Seller, their products, services, certifications, or claims. The Seller remains responsible for the accuracy of any information they provide.
Providing false, misleading, or incomplete business information may result in restriction, suspension, or removal from the platform.
5 Listing Rules and Product Information
The Seller is responsible for ensuring that all listings, titles, descriptions, images, specifications, prices, availability, categories, and business claims are accurate, lawful, not misleading, and kept up to date.
Listings must not be false, deceptive, unlawful, infringing, unsafe, or otherwise inappropriate for the marketplace. The Seller must have the right to sell and advertise the listed products or services.
ARSES may review, edit, reject, remove, hide, restrict, or disable listings or content where we believe it is necessary to protect users, comply with law, enforce this Agreement, or maintain marketplace integrity. ARSES does not guarantee that any listing information is accurate, complete, current, or suitable for a particular purpose.
6 Product Safety, Legal Compliance, and Restricted Items
The Seller is responsible for ensuring that their products and services are safe, lawful, and compliant with all applicable laws, regulations, standards, labeling requirements, and safety requirements in every jurisdiction where they offer or deliver them.
The Seller must not list prohibited, restricted, counterfeit, stolen, recalled, hazardous, or illegal products or services. Where a product or service is regulated, the Seller is responsible for holding and maintaining any required licenses, permits, registrations, or certifications, as required by law.
The Seller is responsible for any product recalls, safety notices, and regulatory obligations relating to their products or services.
7 Pricing, Inventory, Availability, and Taxes
The Seller is responsible for setting prices, managing inventory, and keeping availability accurate and up to date. Prices should clearly reflect what buyers are expected to pay, subject to applicable fees, shipping, and taxes.
The Seller is responsible for determining, collecting, reporting, and remitting all applicable taxes, duties, and levies related to their sales, as required by law. ARSES does not provide tax advice, and the Seller should consult qualified professionals where appropriate.
8 Shipping, Delivery, Pickup, and Service Coverage
Unless explicitly stated otherwise, the Seller is responsible for setting and honoring their own shipping, delivery, pickup, fulfillment, and service coverage terms, including timelines, costs, and geographic availability.
The Seller is responsible for accurately describing delivery or service terms and for fulfilling orders as described. Where third-party logistics or delivery providers are used, those providers may have their own terms and policies.
9 Returns, Refunds, Cancellations, and Seller Policies
Unless explicitly stated otherwise, the Seller is responsible for setting, publishing, and honoring their own return, refund, cancellation, and after-sale policies, in compliance with applicable consumer protection laws.
The Seller is responsible for handling returns, refunds, and cancellations fairly and as required by law. ARSES may provide tools to help manage disputes, refunds, or returns, but does not guarantee that any dispute will be resolved in a particular way.
10 Warranties, Guarantees, and Product Claims
Any warranties, guarantees, or product claims are made solely by the Seller and not by ARSES. The Seller is responsible for ensuring that all warranty terms, guarantees, and product or service claims are accurate, lawful, not misleading, and honored as stated.
ARSES does not provide or guarantee any warranty on Seller products or services unless explicitly stated in writing. The Seller is responsible for complying with applicable warranty and consumer protection obligations.
11 Orders, Payments, Payouts, and Fees
ARSES may support orders, payments, payouts, quotations, and related features. The availability of these features may vary depending on the platform phase, seller settings, payment providers, country, product type, service type, and applicable law.
Where fees, commissions, or charges apply to selling on ARSES, they will be described in applicable fee schedules or seller settings. The Seller is responsible for reviewing and understanding any applicable fees before selling.
Payment processing and payouts may be handled by third-party payment providers, which may have their own terms, requirements, and privacy practices. The Seller is responsible for providing accurate payout and billing information.
12 Customer Communication and Service Standards
The Seller is responsible for communicating with buyers professionally, accurately, and in a timely manner, and for providing service consistent with their listings and applicable law.
The Seller must not use marketplace communications for spam, harassment, misleading claims, or activity that violates this Agreement or applicable law.
13 Reviews, Ratings, and Marketplace Integrity
Reviews, ratings, and feedback help support marketplace transparency. The Seller must not post fake reviews, manipulate ratings or rankings, incentivize misleading reviews, or otherwise interfere with marketplace integrity.
ARSES may remove or restrict reviews, ratings, listings, or accounts that violate this Agreement or marketplace policies.
14 Intellectual Property and Content Rights
The Seller represents that they own or have the rights to all content they submit, including listings, images, descriptions, logos, trademarks, documents, and materials, and that this content does not infringe the rights of others.
By submitting content to ARSES, the Seller grants ARSES a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, adapt, translate, distribute, and use that content for operating, promoting, improving, securing, and supporting the marketplace. ARSES branding and platform materials remain the property of ARSES or its licensors.
15 Documents, Certificates, and Compliance Evidence
Where the Seller provides documents, certificates, test results, licenses, or compliance evidence, the Seller is responsible for ensuring they are genuine, accurate, valid, and current.
Displaying a document or certificate on the platform does not constitute verification, endorsement, or a guarantee by ARSES unless explicitly stated in writing. Users should independently verify documents and certifications where appropriate.
16 Data, Privacy, and Customer Information
The Seller must handle any customer or personal information received through the marketplace responsibly, lawfully, and only for legitimate purposes related to fulfilling orders and providing services, in compliance with applicable privacy laws.
The Seller must not misuse, sell, or improperly disclose customer information. ARSES handling of personal information is described in our Privacy Policy.
17 AI-Assisted Tools
ARSES may develop or use automated and AI-assisted tools to support listing creation, content assistance, translation, search, recommendations, moderation, fraud prevention, and marketplace operations.
AI-assisted outputs may be incomplete, inaccurate, outdated, or unsuitable for a specific purpose. AI tools are intended to assist and do not replace professional, technical, legal, financial, safety, or business advice.
The Seller remains responsible for reviewing and verifying all AI-assisted outputs, listing details, product information, claims, and business decisions before relying on them or publishing them.
18 Suspension, Removal, and Enforcement
ARSES may suspend, restrict, remove, or terminate seller accounts, listings, content, or features where we believe it is necessary to enforce this Agreement, comply with law, prevent harm, protect users, address security issues, or maintain marketplace integrity.
The Seller may stop selling on ARSES at any time. Certain obligations may survive termination, including obligations to buyers, payment obligations, content licenses, disclaimers, limitations of liability, indemnification, and legal obligations.
19 Liability and Indemnification
To the extent permitted by applicable law, ARSES and its owners, directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to selling on the platform.
The Seller agrees to defend, indemnify, and hold harmless ARSES and its owners, directors, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from the Seller's products, services, listings, content, transactions, business activities, violation of this Agreement, violation of law, or violation of third-party rights.
Nothing in this Agreement limits liability where limitation is not permitted by applicable law.
20 Changes to This Seller Agreement
ARSES may update, modify, or discontinue parts of this Agreement or seller features from time to time.
When we update this Agreement, we may post the revised version on this page with an updated effective date. Continued selling or listing on ARSES after changes are posted means the Seller accepts the updated Agreement.
